Terms & Conditions
‘Smart Business Branding’ is a sub-brand of eatsleepthink design limited; all business terms and conditions regarding Smart Business Branding are covered by the following terms and conditions of business. All invoices and payments from the Customer will be payable to our Parent Company, ‘eatsleepthink design limited.’ eatsleepthink design limited (also known as, est.) is the company providing the products, services and prices mentioned within this website, operating and trading as Smart Business Branding. The Customer is the business or person entering into a contract with eatsleepthink design limited, trading as Smart Business Branding for the supply of products and services, referred to in these terms and conditions as ‘work,’ and described in this website on the pages: Logos, Websites and Materials.
Where mentioned throughout, an Agreement of Work Contract is a document that we provide upon the start of work commencing between eatsleepthink design limited (trading as Smart Business Branding) and the Customer. The Agreement of Work Contract must be signed and agreed upon by the Customer before any work commences.
Payment terms vary depending upon the chosen payment option:
Pay monthly: If the Customer chooses to pay in monthly instalments the value of the work to be undertaken needs to be above £1,200.00 including VAT, in value. The Customer can choose to pay in monthly instalments, of either 6 or 12 payments. Customers wanting to pay using this method must agree to a credit check via CompanyCheck.co.uk to check your Company’s Credit Status. This information is to support our accounts team in determining whether your Company Credit Status is acceptable for a monthly instalment payment option. We do not share this information with any other Company or third party. A copy of the Credit Status Report can be supplied to the Customer if requested. In some instances, the Credit Status Report may not be favourable toward the Customer, and est. have the right to decline the ‘pay monthly’ option. If the Customer is a Limited Company we may request that the Managing Director signs a Personal Guarantee. The Personal Guarantee confirms that if the Limited Company cannot complete payment to eatsleepthink design limited for the work provided, the Managing Director personally guarantees that any remaining costs due will be paid by them personally in full, paid either as the full amount owing or in further agreed instalments.
Pay 50/50: The Customer can choose to pay 50% of the overall cost before work commences. When the Agreement of Work Contract is agreed upon and signed by the customer, est. will supply an invoice for 50% of the charges, payable by return. Once est. has received payment, the work will commence. Upon completion, est. will invoice the remaining 50%, payable by return.
Pay upfront: The Customer can choose to pay 100% of the overall cost upfront before work commences. When the Agreement of Work Contract is agreed upon and signed by the customer, est. will supply an invoice for 100% of the charges, payable by return. Once est. has received payment, the work will commence.
Customers must use the invoice number provided as a reference on any payments made to eatsleepthink design limited. Customers can choose to pay eatsleepthink design limited using the following methods:
Via BACS (Bankers’ Automated Clearing System): This is where the Customer instructs their bank to make payment to our bank.
Via GoCardless Instalments: This method is for monthly payments by instalment. eatsleepthink design limited uses GoCardless.com to arrange the instalment dates and take payment. eatsleepthink design limited will invite the Customer to register with GoCardless, and fixed payments are taken from the Customer’s bank account on an agreed date every month until completion.
Via Credit Card: The Customer can request to pay eatsleepthink design limited using a Credit Card. This payment method is performed via GoCardless.com and is provided as an option for the Customer within the Agreement of Work Contract. eatsleepthink design limited will apply a 5% fee onto the overall cost of the work if the Customer wishes to use this payment method.
Via PayPal: The Customer can request to pay eatsleepthink design limited via PayPal. This payment method is provided as an option for the Customer within the Agreement of Work Contract, and if selected, eatsleepthink design limited will apply a 7% fee to the overall cost of the work if the Customer wishes to use this payment method.
eatsleepthink design limited does not accept payment via cheque or cash.
Accounts overdue by 15 days will incur an immediate 5% interest charge to cover the administration fee and loss of earnings. If no payment is received 31 days after the due date, eatsleepthink design limited will seek further action for which The Customer will cover all costs. Furthermore, the Customer agrees to indemnify eatsleepthink design limited for all such expenses if we incur any collection costs, such as an administration fee, legal fees, or collection agency fees.
By signing the Agreement of Work Contract (received by the Customer for agreement and signature prior to the start of any project), Customers are agreeing to these terms and conditions of trade between eatsleepthink design limited (TA Smart Business Branding) and The Customer.
The Customer acknowledges that under any circumstances where the work is cancelled or placed on hold during production through no fault of eatsleepthink design limited, the Customer agrees to pay for any investment already incurred beyond any initial deposit fees and within the value of the proposed work. eatsleepthink design limited monitor time spent on your project and will be able to provide a summary of the time worked before work is placed on hold or cancelled by the Customer. Any deposits paid before cancellation are non-refundable regardless of the time incurred.
All costs provided are based on the information supplied by the Customer and requested by eatsleepthink design limited. The information is provided in an Agreement of Work Contract to be approved and signed by the Customer and eatsleepthink design limited before work commences. When the Agreement of Work Contract is approved it creates the Scope of Work involved. If the Scope of Work is exceeded during production through no fault of eatsleepthink design limited and additional work not outlined in the Agreement of Work Contract is required, this extra work will be deemed Out-of-Scope. Any Out-of-Scope work will incur additional costs, and eatsleepthink design limited will inform the Customer and provide an estimate before carrying out any Out-of-Scope work.
Each step of our production process allows for two customer proofs per stage. Suppose the Customer exceeds the two proofs and there’s mutual agreement that this is no fault of eatsleepthink design limited, then further proofing stages will incur additional costs at £75.00 per hour. eatsleepthink design limited will inform the Customer of any additional charges before extra work is required. In addition, there are Customer approval stages during the production process where the Customer needs to approve the work and agree to any provided documentation, provide written agreement via email, or give a suitable verbal agreement of their satisfaction with the work produced. If the Customer has previously approved a stage of the process, but decides further changes are required at a later stage, then The Customer will incur additional costs, at £75.00 per hour, for eatsleepthink design limited to carry out any remedial work.
eatsleepthink design limited guarantees 100% satisfaction in all our work, and we constantly endeavour to provide our Customers with the highest standard of work across all of our service offerings. In the case of a Customer not being 100% satisfied with the work supplied then eatsleepthink design limited will work with the Customer to provide a suitable solution to the issues surrounding dissatisfaction. At any Phase in the production of the Customer’s work there is a grievance; the Customer must inform either the Managing Director or Project Manager immediately so that they may have the opportunity to provide a suitable solution to the grievance. eatsleepthink design limited cannot be held responsible for any mistakes made once the project is completed and approved by the Customer unless eatsleepthink design limited acknowledge that they are at fault. In this instance, eatsleepthink design limited will work to rectify any mistakes.
All of our logo designs are created by designers employed by eatsleepthink design limited, trading as Smart Business Branding. We do not use other design agencies, or third-party businesses to fulfill the Customer’s work. All logo designs are developed using a proprietary five-step process and the Customer must adhere to this process throughout the lifetime of the logo development, this will ensure the best possible outcome for the Customer’s project. We will not plagiarise (copy) any other logo design if instructed to do so by the Customer. We pride ourselves in our abilities to create a unique, tailored and hand-crafted design specifically focused on the needs of the Customer’s business. eatsleepthink design limited reserves the right to stop production of the Customer’s work if the Customer demands any form of illegal activity from our designers, this includes but is not limited to copying an existing logo design, using imagery found on the internet that belongs to another business or person, or using stock imagery as a logo where the stock imagery licensing dictates that it cannot be used for this purpose. eatsleepthink design limited refuses the right to stop production of the Customer’s work if the Customer is abusive, either verbally or physically, towards any of our employees.
All of our websites are WordPress templates built from scratch by our Development Team at eatsleepthink design limited, trading as Smart Business Branding. The Customer must adhere to the chosen website template’s architecture, any requested changes to the template’s architecture will be deemed out-of-scope and incur additional costs. All websites are developed using a proprietary five-step process and the Customer must adhere to this process throughout the lifetime of the website development, this will ensure the best possible outcome for the Customer’s project. eatsleepthink design limited will not plagiarise (copy) any other website code if instructed to do so by the Customer. eatsleepthink design limited reserves the right to stop production of the Customer’s work if the Customer demands any form of illegal activity from our development team, this includes but is not limited to copying any proprietary website code belonging to another business, using or copying content found on another website that belongs to another business or person, or hacking a Customer’s competitor website to gain information. eatsleepthink design limited refuses the right to stop production of the Customer’s work if the Customer is abusive, either verbally or physically, towards any of our employees.
Ownership: Once paid for by the Customer, all websites are the Customer’s property and responsibility.
Content: The customer must provide the content for the branded materials, including, but not limited to text, imagery and illustrations. If required, copywriting is available for an additional cost. eatsleepthink design limited is not responsible for the content of our Customers’ websites and reserves the right to refuse the placement of any content on Customers’ websites that it considers lawfully illegal; this includes, but is not limited to written content, photography, and imagery. All websites allow for the selection of stock imagery if required, for this purpose we only use the Adobe stock imagery library, the stock imagery can be adjusted for colour and tone to tie in with your brand colours and this service is supplied within the website costs. Any additional work required to adjust images, either supplied by the Customer or supplied from the stock imagery library will incur additional costs.
GDPR: eatsleepthink design limited provides Customers with websites that adhere to GDPR guidelines and are not responsible for any Customer removing any necessary GDPR functionality. The Customer is responsible for understanding and adhering to the privacy policies stated within the website supplied by eatsleepthink design limited.
Hosting: eatsleepthink design limited selects the best hosting platform to suit the Customers needs. Hosting is provided for one year from the website launch and is non-refundable if the Customer wishes to move their website hosting to another provider within the first year. Emails can be supplied as part of the hosting subject to any conditions within your existing domain and hosting. After the first year, est. will invoice the Customer one month before the following year’s hosting starts. If the Customer wishes to move to a new hosting platform or pay for the hosting directly, eatsleepthink design limited will work amicably with the Customer to ensure a suitable transfer of hosting management. eatsleepthink design limited will not offer website maintenance for websites that are moved to another hosting provider.
Maintenance: eatsleepthink design limited provides website maintenance for the first year of the website, including:
WordPress updates: ensuring that the WordPress Content Management System is updated regularly.
Plug-ins, also known as API (Application Programming Interfaces) are updated: ensuring that all Plug-ins are updated when required and work with the latest version of WordPress.
Website optimisation: ensure every month that the website is operating at optimum efficiency, checking Google Analytics, Google site speed, and content optimisation.
Security: No website is ever 100% secure, but we do our best to guarantee a high standard of protection. eatsleepthink design limited provides additional security measures to all our websites, including Cloudflare encapsulation and other proprietary methods such as quarterly password changes, white-listing administrators and failed access attempt warnings. In addition, all security measures are maintained within our maintenance package, and clients are kept informed of any attempts at breaching the website’s security. eatsleepthink design limited is not responsible for any website security breaches arising due to a lack of due diligence from within the Customer’s business. eatsleepthink design limited is not responsible for any security issues arising from the lack of website maintenance by the client or another third party if the Customer doesn’t renew the maintenance contract.
Further year’s maintenance: Customers will receive a proposal for the renewal of website maintenance for the second year one month before the renewal date. If the Customer does not wish for eatsleepthink design limited to carry on maintaining their website upon completion of the first year’s maintenance contract, then eatsleepthink design limited is not responsible for any issues arising from the lack of website maintenance by the client or another third party.
eatsleepthink design limited does its very best to ensure that all Customers have training resources and support with their website. Still, on occasion, some Customers can make edits or changes that may damage the website if they do not follow our provided guidance. If a Customer requires one of our developers to fix the damage to the website, we reserve the right to charge Customers for the work incurred. eatsleepthink design limited will discuss any costs with the Customer before proceeding with any remedial work.
Search Engine Optimisation: We provide you with a website that is SEO ready with a Yoast Plug-in for exact page keywords, this gives the Customer the opportunity to update SEO keyword and phrases once the website has been launched.
During development of the Customer’s website, eatsleepthink design limited will use the website content that the Customer provides and this is the content that search engines look for when ranking your website. We will provide you with guidance on what the basic requirements are as a part of our package and this includes any keywords or phrases you deem applicable for search. eatsleepthink design limited cannot be held responsible for SEO ranking after the launch of the website and the Customer should acknowledge there are no guarantees of a high search ranking within Google search. However, higher-level Search Engine Optimisation is an additional fee of £1295.00 inc VAT. Working alongside our SEO partner from the start of the project, together we can use the text the Customer supplies, provide recommendations for changes, keywords and phrases, so that the site performs even better within website search environments.
To give the Customer the best chance to establish a digital brand it is important they maintain and update content regularly on the website, eatsleepthink design limited will supply a web guidance document with hints and tips for consistent performance. Furthermore, to help Customers maintain momentum, after launch of the website, we can introduce you to our SEO partner who can provide you with an estimate for monthly recommendations and updates.
Support: If the Customer has any questions, we provide six-months free support following the launch of the website. All details are provided within the Agreement of Work Contract. Also, prior to the start, or during any project the Customer can contact eatsleepthink design limited with questions, either directly to the Project Manager or via:

All costs for branded materials are for design only, we provide three proofing stages including final artwork ready for the Customer to send to print. If requested, we can provide costs and service for printing the Customer’s branded materials. The customer must provide the content for the branded materials, including, but not limited to text, imagery, and illustrations. If required, copywriting is available for an additional cost. eatsleepthink design limited is not responsible for the content of our Customers’ branded materials and reserves the right to refuse the placement of any content that it considers lawfully illegal; this includes, but is not limited to written content, photography, and imagery. Certain branded materials, where noted, allow for the selection of stock imagery if required, for this purpose we only use the Adobe stock imagery library, the stock imagery can be adjusted for colour and tone to tie in with your brand colours and this service is supplied within the branded material’s cost. Any additional work required to adjust images, either supplied by the Customer or supplied from the stock imagery library will incur additional costs.

All work we undertake is protected by our Non-Disclosure policy, signed and agreed to by each individual employee of eatsleepthink design limited. If requested, eatsleepthink design limited will agree to sign a non-disclosure agreement to protect amongst other things, the financial, intellectual, and physical properties of the Customer’s business. Once the Customer’s work is completed they may be asked if eatsleepthink design limited can use the work created for promotional purposes. They may also be asked for a testimonial for promotional purposes. On both occasions eatsleepthink design limited will ask permission before the work is used to promote Smart Business Branding.
eatsleepthink design limited reserve the right to change these terms and conditions regularly.
